Company Registration – No Deal

If the UK leaves the EU without a deal, your business may need to change its company registration if it’s:

  • a European entity formed under EU law
  • a UK company with an EEA corporate officer
  • a UK company involved in a cross border merger
  • an EEA company

The UK’s exit from the EU will not affect how most UK companies report information to Companies House.

Companies House Forms - No Deal

The UK’s exit from the EU will mean some forms used by Companies House will change. It is not clear at this stage whether the old forms will still be legally valid or not. We will update further on this when there is more certainty.

The forms affected are those relating to corporate officers with reference to 'EEA’ and ‘non-EEA’, which will be replaced by ‘UK registered limited companies’ and ‘Other corporate bodies and firms’’.

  • AP02 Corporate director appointment
  • AP04 Appoint a company secretary
  • CH02 Change corporate director detail
  • CH04 Change of corporate secretary details
  • CS01 Confirmation statement
  • IN01 Company incorporation
  • LLIN01 LLP Incorporation

We will endeavour to reflect the changes in our software as soon as possible after a definitive decision is made for a No Deal scenario. There are additional forms that will also be affected by a No Deal, which we do not currently cater for within the product; these include Overseas Companies, Societas Europea (SE) and European Economic Interest Groupings (EEIGs)

Companies House Forms – Deal

According to Companies House, if a deal on the withdrawal period is reached prior to the UK's leave date, the transitional period will kick in. This means the existing forms will still be accepted until further notice.

Companies House Forms – Extension agreed

In the event of the UK exit being delayed, the existing forms will also continue to be accepted until further notice.
