M&A activity in the accountancy sector continues at pace, but the headline price is only part of the story - the tax position, deal structure and payment mechanics can significantly affect the real value achieved by both buyers and sellers.

In this session we will be joined by tax expert Nick Wright (Head of Corporate Tax, Jerroms Miller), to explore the tax aspects of practice acquisitions and succession planning, how to prepare for a transaction well in advance and how to avoid the common pitfalls that can erode value or create unexpected personal tax exposure.

We will cover:

  • Ensuring the practice is held in the most appropriate structure ahead of a sale
  • The timing of any restructuring and the availability of reliefs
  • Maximising tax efficiency on disposal, including access to capital gains treatment and business asset disposal relief
  • The tax implications of earn-outs, deferred consideration and equity rollovers
  • Planning for retirement, succession and post-deal income extraction

We will also look at structuring acquisitions in a tax-efficient way while remaining commercially competitive as well as the differences between asset and share purchases from a tax and cash-flow standpoint
